Compulsory Filing Requirements to be implemented of all Franchise Agreements ----------- list of contents for the filings
The Franchisors should bring the following to the authorities to make the Agreement good:
1. The said commercial Franchise Profile
（一）商业特许经营基本情况。
2. Information on Units allocation of all the Franchisees in PRC
（二）中国境内全部被特许人的店铺分布情况。
3. Market plan of the Franchisor
（三）特许人的市场计划书。
4, Certificate of Incorporation (of the Franchisor) or any other relevant corporate certification
（四）企业法人营业执照或其他相关主体资格证明。
5. Trade Marks, Patents that are related to the Franchise operation and duly issued by the State authorities and any other certification documents that are related to its operational resources
（五）国家相关部门颁发的与特许经营活动相关的商标权、专利权及其它经营资源的证明文件。
6. Any other exceptional certification documents as per Article 7.2 of the Franchise Regulations
（六）符合《条例》第七条第二款规定的证明文件。
在2007年5月1日前已经从事特许经营活动的特许人和从事无店铺销售、远程教育的特许人在提交申请商业特许经营备案材料时不适用于上款的规定。
7. The first Franchise Agreement signed with the Franchisee in China
（七）与中国境内的被特许人订立的第一份特许经营合同。
8. Sample of the Franchise Agreement
（八）特许经营合同样本。
9. List of Contents of the Franchise Manual (bearing the total number of pages for each and every Chapter and the total number of pages of the Manual. In case the Franchise Manual is offered on line, the estimated number of pages is required.)
（九）特许经营操作手册的目录（须注明每一章节的页数和手册的总页数，对于在特许系统内部网络上提供此类手册的，须提供估计的打印页数）。
10. For those kinds of Franchise that are subject to special approval procedures by the State according to law, the relevant approving documents issued by the approving authorities are also required. FIEs are required to submit “certificate of approval” and said the certificate shall bear“conducting commercial activities by way of Franchise”.
（十）国家法律法规规定经批准方可开展特许经营的产品和服务，须提交相关主管部门的批准文件。
外商投资企业应当提交《外商投资企业批准证书》，《外商投资企业批准证书》经营范围中应当包括"以特许经营方式从事商业活动"项目。
10. Written commitment by the Franchisor which is duly signed by its legal representative or by any authorized representative of the Franchisor.
（十一）经法定代表人或者合法授权代表签字或者盖章的特许人承诺。
11. Any other material that the filing authorities deem necessary for submission.
（十二）备案机关认为应当提交的其他资料。
