本条例旨在将消费者委员会成立为法团,制定其职务及权力,规定委员会之委员与雇员毋须对委员会及其属下委员会之行为及遗漏负个人责任,并对有关事项加以规定。

第Ⅰ部 导言

1.简称

本条例定名为消费者委员会条例。

2.释义

在本条例内,除按照上下文另具意义者外,下开各词应解释如下——

“委员会”指按照本条例第3条第(1)款成立为法团之消费者委员会;

“财政年度”指截至3月31日为止之12个月期间;

“委员”指委员会之委员。

第Ⅱ部 消费者委员会成立为法团及其权力

3.消费者委员会成立为法团

(1)本条将在本条例开始实施时已存在之消费者委员会成立为法团,由不时出任该委员会委员之人士组成。

(2)委员会为永久性之赓续组织及设有团体印章,能提出控诉及被控诉,并能作出及容许作出其他法团依法可作出及容许作出之所有其他行为及情事。

(3)委员会之英文名称为“Consumer Council”。

4.委员会之职务

(1)委员会之职务,乃以下开方法保障及促进货品与服务消费者之利益——

(a)收集、接受及发布有关货品与服务之资料;

(b)接受及调查消费者所提出有关货品与服务之投诉,并向彼等提供意见;

(c)根据所得之资料而采取其认为适当之行动,包括向政府或任何公职人员提供意见;

(d)鼓励商业及专业协会订立业务守则,以节制其所属会员之活动;

(e)执行总督会同行政局事先批准之其他职务。

(2)总督可向委员会发出通知书,声明任何货品或服务或任何类别之货品或服务不属于第(1)款所述之委员会职务范围。

(3)在本条第(1)款及第5条第(2)款(c)段内“货品及服务”并不包括——

(a)由下开机构提供之货品与服务——

(i)政府、市政局或区域市政局;或

(ii)附表所列团体;或

(b)属于第(2)款所指声明标的物之货品及服务。

(4)总督会同行政局可在宪报刊登公告,修订附表。

5.委员会之权力

(1)委员会可采取任何合理之必要行动,以执行其职务。

(2)在不限制第(1)款之一般性原则下,委员会可采取下开措施以执行其职务——

(a)以其认为适当之任何方式,获得、保存及处置一切动产及不动产;

(b)订立任何契约;

(c)对货品及服务进行试验及检查以及检查不动产;

(d)出版,或以出售或其他方式分发消费者感兴趣之任何刊物;

(e)与任何其他人联合或合作进行本条例规定可进行之任何事项,或赞助任何人进行该事项;

(f)收取委员会提供之设备或服务之使用费;

(g)经总督之事先批准,可加入或附属于任何与消费者事务有关之国际性团体。

6.委员会之成员

(1)委员会由下开成员组成——

(a)主席1名,由总督委任,任期不得超逾两年;

(b)副主席1名,由总督委任,任期不得超逾两年;

(c)委员不超逾20名,全由总督委任,任期不得超逾两年。

(2)主席、副主席及根据第(1)款(c)段获委任之任何其他委员,于任期届满后可再获委任。

(3)主席、副主席及根据第(1)款(c)段获委任之任何其他委员,可随时——

(a)以书面向总督辞职;或

(b)由于永久无能力执行职务或其他充分理由而遭总督撤职;一经辞职或撤职,其任期即视作届满论。

(4)如主席、副主席或根据第(1)款(c)段获委任之任何其他委员在任何期间内暂时无能力执行职务或因其他原因而暂时不能执行职务,总督可委任其他人士在此期间内代理主席、副主席或其他委员之职务,而该人所具之权利、权力、职责或责任与根据第(1)款获委任者相同。

(5)(已撤销)

(6)关于第(3)或第(4)款之规定,如出现任何无能力执行职务之情事或任何原因是否存在,或无能力执行职务之情事是否属暂时性或永久性或任何原因是否充分等问题时,总督对此等问题所作之决定即属最终决定。

7.委员会之会议

(1)委员会举行会议之时间及地点,得由委员会、主席或副主席(如主席缺席)不时指定。

(2)下开程序规定适用于委员会之所有会议:在该等规定范围内委员会可规定其会议程序——

(a)委员会举行会议时,法定人数为11名以上之委员;

(b)会议由主席或副主席(如主席缺席)主持,如两者均缺席或根据第9条(c)段而丧失资格,出席会议之委员得委任其中一名主持会议;

(c)所有问题均由出席委员投票决定,以多数票取决;

(d)如票数相等,主持会议之委员除原有一票外,尚可另投决定性一票。

8.属下委员会

(1)委员会可委任属下委员会,亦可授权其属下委员会行使及执行其权力及职务,惟授权之权力,不包括在内。

(2)非属委员会委员之人,可获委任为属下委员会委员。

(3)除受委员会授权条件所限外,各属下委员会——

(a)可行使及执行获授之权力及职务,其效力与委员会所行使及执行者相同;

(b)得推定为按照授权条件而工作,能提出反证者除外;

(c)可规定其会议程序。

9.委员个人利益之公开

委员会或其任何属下委员会之委员,如委员会或其属下委员会会议所讨论之任何事项直接或间接涉及其个人商业利益,而该利益乃高于其身为公众之一份子所得利益者,则须依从下列规定办理——

(a)在会议上公开其个人利益之性质;

(b)公开之事项须记录在会议记录内;

(c)如公开个人利益之委员为主持会议者,则须于讨论进行期间暂停主持之职;

(d)该委员(包括根据(c)段而暂停主持之职者)须于会议主持之要求下在讨论进行期间退出会议,无论在任何情况下,均不得对涉及其个人商业利益事项之任何决议案投票或在确定法定人数时列入计算人数之内,惟若会议主持另有决定者,则属例外。

10.职员及顾问之委任

(1)除第(4)款另有规定外,委员会得委任一人为总干事。

(2)委员会可委任其认为适当之其他职员及在第(4)款规定范围内,决定有关其薪酬及雇用或委任条件之事宜。

(3)委员会可以其认为适当之方法及条件雇用技术及专业顾问为委员会服务。

(4)关于下列事项,委员会须事先获得总督之批准——

(a)根据第(1)款之规定而提出之委任及其雇用条件;

(b)将总干事停职或解雇;

(c)厘定适用于总干事及所有其他职员或每类职员之薪酬或薪级(包括津贴及其他金钱上之福利)与雇用条件,以及任何调整。

(5)委员会之职员,乃按照已根据第(4)款之规定获总督批准,并适用于该职员之薪酬或薪级或雇用条件而受雇。

11.委员会之文件

(1)委员会可制订及签立有助或有利于行使及执行其权力、职务及职责之所有文件。

(2)凡在任何文件上加盖委员会印章,均须——

(a)经委员会通过决议案授权;及

(b)由任何两名经委员会通过决议案就盖用委员会印章事而获一般性或特别授权之委员,在该文件上签署,以资证实。

(3)除能提出反证外,凡称经正式签立,并加盖委员会印章之文件,均视为如是签立之文件。

(4)任何合约或文件,如由非属法团之人订定或签立,则无须采用契据形式者,可由任何就该事项获得委员会一般或特别授权之人代表委员会订立或签立。

第Ⅲ部 财务

12.委员会之资金来源

(1)总督可批准从立法局拨作资助委员会之款项中,将其认为适当之数额给予委员会。

(2)委员会之资金来源包括——

(a)委员会依据第(1)款所收受之所有款项;

(b)以捐款、缴费、订阅费、租金及利息等形式付予委员会之款项;

(c)委员会因其职务而收受之所有其他款项及物业,包括累积之收益。

13.借款之权力

在财政司之批准下,委员会可借款或从其他方法集资,并可以其所有或部分物业作抵押。

14.款项之投资

委员会无须即用之一切款项,均须——

(a)存入财政司在一般性或任何特别情况下认可之任何银行或储蓄银行之定期存款帐户;

(b)运用于财政司所批准之其他投资。

15.收支预算

委员会须于每一财政年度内通过下一财政年度之收支预算,并于财政司指定日期之前,将该收支预算连同该委员会下一财政年度之活动方案呈交总督批准。

16.帐目、审核及年报

(1)委员会须保存正确之帐目及有关之记录,并在财政年度结束后三个月内或财政司准许之更长期间内编制结算表,结算表须包括收支帐目及资产负债表。

(2)委员会须根据第(3)款委任核数师一名,该核数师有权在任何时间查阅委员会之所有帐簿、单据及其他财务记录,并在其认为恰当时,要求供给任何有关上述文件之资料及解释。

(3)委员会根据第(2)款规定而拟作之委任,须事先获得财政司之批准。

(4)核数师须在实际可行情况下尽快将第(1)款规定之帐目审核,并向委员会提交报告。

(5)委员会须于接获核数师就某一财政年度之帐目所作之报告后三个月内或财政司准许之更长期间内,向总督呈交——

(a)委员会在该年度内之事务报告书;

(b)该年度之帐目副本一份;及

(c)核数师所作之帐目报告书,总督须着令将该等文件提交立法局省览。

第Ⅳ部 一般规定

17.委员会非为政府之机构或代理人

委员会并非政府之机构或其代理人,不能享有政府之任何地位、豁免权或特权。

18.总督可发出指示

(1)总督如认为为应公众利益所需,可就委员会根据本条例之规定而行使及执行其权力、职务及职责等事宜,向委员会发出一般或特别指示。

(2)凡根据第(1)款所发出之指示,委员会均须遵守。

19.委员会及其属下委员会委员之保障

(1)委员会或其任何属下委员会之委员或雇员,均毋须因——

(a)委员会;或

(b)委员会之任何属下委员会在忠诚执行职务时所作或不作之行为而负上个人责任。

(2)委员会或其属下委员会之委员及雇员所获得之保障并不影响委员会因其所作或不作之行为而须负之责任。

20.限制为广告的目的利用委员会的名称

(1)未经委员会书面许可,任何人不得刊登或着令刊登任何广告,以明示或暗示方式提及——

(a)消费者委员会;

(b)该委员会的任何小组委员会、委员、代理人或雇员;

(c)委员会作出的,或代表委员会作出的任何出版物或检验或统计报告;及

(d)任何其他由委员会发表的资料,以褒誉或贬抑任何商品、服务或不动产,或使任何人产生该等印象。

(2)任何人违反第(1)款之规定,即属违法,可判罚款十万元。

(3)在第(1)款内,“广告”指任何以书面写出或以口头读出之字句,或任何图画或画像,而——

(a)出现于任何刊物;或

(b)从任何其他方式引起公众或某类公众注意者。

21.过渡性条文

(1)所有授予或属于本条例开始生效时已存在之消费者委员会之任何种类财产,不论其为动产或不动产,由本条例开始实施之日起均授予或属于已成法团之委员会,毋须再作保证。

(2)由本条例开始生效时起,上述之消费者委员会之所有承担及责任,均转予已成法团之委员会。

(3)上述之消费者委员会在本条例生效前已开始进行或在其授权下进行之任何事项,可由已成法团之委员会继续进行及完成。

(4)为执行本条例之规定起见,在本条例生效前已获委为上述之消费者委员会之主席、总干事或委员之人士,从本条例生效时起,即按照其委任条件成为委员会之主席、总干事或委员。

(5)纵使第2条内“财政年度”一词之释义另有规定,由本条例生效日至1978年3月31日止之期间得视为一财政年度。

(6)根据本条规定移交之财产,均毋须缴付印花税。

PART I PRELIMINARY

1. Short titleThis Ordinance may be cited as the Consumer Council Ordinance.2. InterpretationIn this Ordinance, unless the context otherwise requires--"Council" means the Consumer Council incorporated by section 3 (1);"financial year" means each period of 12 months ending with 31 March;"member" means a member of the Council.

PART II INCORPORATION AND POWERS

3. Incorporation of Consumer Council(1) The Consumer Council existing at the commencement of this Ordinance ishereby created a body corporate consisting of the persons who from time totime hold office as members of the Council.(2) The Council shall have perpetual succession and a common seal andshall be capable of suing and being sued and of doing and suffering allsuch other acts and things as bodies corporate may lawfully do and suffer.(3)The Council shall continue to be known in the Chinese language as.4. Functions of Council(1) The functions of the Council are to protect and promote the interestsof consumers of goods and services and purchasers, mortgagors and lesseesof immovable property by--(a) collecting, receiving and disseminatinginformation concerning goods, services and immovable property;(b) receiving and examining complaints by and giving advice to consumersof goods and services and purchasers, mortgagors and lessees of immovableproperty;(c) taking such action as it thinks justified by information in itspossession, including tendering advice to the Government or to any publicofficer;(d) encouraging business and professional associations toestablish codes of practice to regulate the activities of their members;(e) undertaking such other functions as the Council may adopt with theprior approval of the Governor inCouncil.(2) The Governor may be notice in writing to the Council declare anygoods, services or immovable property or class of goods, services orimmovable property to be outside the scope of the Council's functionsunder subsection (1).(3) In subsection (1) and in section 5 (2) (c) "goods and services" doesnot include goods and services which are--(a) supplied by--(i) the Government, the Urban Council or the Regional Council; or (Amended39 of 1985 s. 60)(ii) a body mentioned in the Schedule; or(b) made the subject of a declaration under subsection (2).(4) The Governor in Council may, byorder published in the Gazette, amendthe Schedule. (Amended 5 of 1992 s. 2)

5. Powers of Council(1) The Council may do such things as are reasonably necessary to enableit to carry out its functions.(2) Without restricting the generality of subsection (1), the Council mayin carrying out its functions--(a) acquire, hold and dispose of all kinds of property movableandimmovable and in any manner which it thinks fit;(b) enter into any contract;(c) undertake the testing and examination of goods and services andinspection of immovable property; (Amended 5 of 1992s. 3)(d) produce or distribute, by way of sale or otherwise, any publicationwhich is of interest to consumers;(e) do any thing which it may do under this ordinance in association orco-operation with any other person or sponsor any other person to do thatthing;(f) charge for the use of any facility or service provided by the Council;(g) with the prior approval of the Governor, become a member of oraffiliate to any international body concerned with consumer matters.

6. Membership of Council(1) The Council shall consist of the following members--(a) a Chairman who shall be appointed by the Governor for a term notexceeding 2 years;(b) a Vice-Chairman who shall be appointed by the Governor for a term notexceeding 2 years; and (Replaced 28 of 1985 s. 2)(c) not more than 20 other persons each of whom shall be appointed by theGovernor for a term not exceeding 2 years. (Replaced 28 of 1989 s. 2)(2) The Chairman, Vice-Chairman and any other member appointed undersubsection (1) (c) may be reappointed upon expiry of their respectiveterms of office. (Amended 28 of 1985 s. 2)(3) The Chairman, Vice-Chairman and any other member appointed undersubsection (1) (c) may at any time-- (Amended 28 of 1985s. 2)(a) resign his office by notice to the Governor; or(b) be removed therefrom by the Governor for permanent incapacity or othersufficient cause, and upon such resignation or removal the term for whichhe was appointed shall be deemed to have expired.(4) Where the Chairman, Vice-Chairman or any other member appointed undersubsection (1) (c) is precluded by temporary incapacity or other causefrom exercising his functions as such for any period the Governor mayappoint another person to act in place of the Chairman Vice-Chairman orother member during such period with all such rights, powers, duties orliabilities as if he had been appointed under subsection (1). (Amended 28of 1985s. 2)(5) (Replaced 28 of 1985s. 2)(6) Where any question arises under subsection (3) or (4) as to whetherany incapacity or cause exists or whether any incapacity is temporary orpermanent or any cause sufficient, the decision of the Governor thereonshall be final.

7. Meetings of Council(1) Meetings of the Council shall be held at such times and places as theCouncil, the Chairman or in his absence, the Vice-Chairman may from timeto time appoint.(2) The following procedural provisions shall apply toevery meeting of the Council and subject thereto the Council may regulateits own procedure--(a) at meetings of the Council 11 members shall form a quorum; (Replaced28 of 1989 s. 3. Amended 5 of 1992 s. 4)(b) the Chairman or in his absence, the Vice-Chairman shall preside or, ifboth are absent or disqualified under section 9 (c), the members presentshall appoint one of their number to preside;(c) every question shall be determined by a majority of votes of themembers present and voting thereon;(d) in the event of an equality of votes the member presiding shall have acasting vote in addition to his ordinary vote.(Amended 28 of 1985 s. 3)

8. Committees(1) The Council may appoint committees and may delegate to them theexercise and performance of any of its powers and functions except thispower of delegation.(2) Persons who are not members of the Council areeligible for appointment to committees.(3) Subject to the terms of any delegation by the Council, everycommittee--(a) may exercise and perform the delegated powers and functionswith the same effect as if it werethe Council itself;(b) shall be presumed to be acting in accordance with the terms of thedelegation in the absence of proof to the contrary;(c) may regulate its own procedure.9. Disclosure of member's interestIf a member of the Council, or of any committee of the Council, has adirect or indirectcommercial interest in any matter under discussion at ameeting of the Council or of the committee, being an interest greater thanthat which he has as a member of the general public, the followingprovisions shall apply--(a) he shall disclose the nature of his interest at the meeting;(b) the disclosure shall be recorded in the minutes;(c) where the disclosure is made by the member presiding, he shall vacatethe chair during the discussion;(d) the member (including one who has vacated the chair under paragraph(c)) shall, if so required by the member presiding, withdraw from themeeting during the discussion and shall not in any case, except asotherwise determined by the member presiding, vote on any resolutionconcerning the matter or be counted for the purpose of establishing theexistence of a quorum.

10. Appointment of staff and advisers(1) Subject to subsection (4), the Council shall appoint a person to holdthe office of Chief Executive. (Amended 28 of 1985 s. 4)(2) The Council may appoint such other employees as it thinks fit andsubject to subsection (4), determine all matters relating to theirremuneratior and terms and conditions of appointment or employment.(3) The Council may engage the services of technical and professionaladvisers in such manner and on such terms and conditions as it thinks fit.(4) The Council shall obtain the prior approval of the Governor to--(a) anyappointment proposed to be made under subsection (1) and the termsand conditions thereof;(b) the suspension or dismissal of the Chief Executive;(c) the salary or salary scale (including allowances and other pecuniarybenefits) and conditions of employment applicable to the Chief Executiveand every other employee or class employee, and any variation thereof.(Amended 28 of 1985 s. 4)(5) No person shall be employed by the Council otherwise than on the salaror salary scale or on the conditions of employment applicable to that persapproved by the Governor under subsection (4).

11. Documents of Council(1) The Council may make and execute all such documents as may expedientfor or conducive to the exercise and performanceof its power functionsand duties.(2) The fixing of the seal of the Council to any documentshall--(a) be authorized by resolution of the Council; and(b) be authenticated by the signatures of any 2 members authorize byresolution of the Council, either generally or specially, to ao for thatpurpose.(3) Any document purporting to be duly executed under the seal of theCouncil shall, unless the contrary is proved, be considered to be dulyexecuted.(4) Any contract or instrument which if entered into or executed by aperson not being a body corporate would not be required to be in the formof a deed may be entered into or executed on behalf of the Council by anyperson generally or specially authorized by the Council for that purpose.

PART III FINANCIAL

12. Resources of Council(1) The Governor may, out of money appropriated for the purpose by theLegislative Council, authorize payment to the Consumer Council of suchamounts as he thinks fit.(2) The resources of the Council shall consistof--(a) all money received by the Council pursuant to subsection (1);(b) money paid to the Council by way of donations, fees, subscriptions,rent and interest;(c) all other money and property, including accumulations of income,received by the Council for its purposes.13. Borrowing powersThe Council may, with the approval of the Financial Secretary, borrow orotherwise raise money and charge all or any part of its property assecurity therefor.

14. Investment of fundsAll money of the Council that is not immediately required shall beinvested--(a) on fixed deposit in any bank or savings bank approved by theFinancial Secretary, either generally or in any particular case, for thepurpose; or(b) in such other forms of investment asthe Financial Secretary mayapprove.

15. EstimatesThe Council shall in each financial year adopt estimates of income andexpenditure for the ensuing financial year and, before a date to beappointed by the Financial Secretary, send them to the Governor for hisapproval together with a programme of its proposed activities for theensuing financial year.

16. Accounts, audit and annual report(1) The Council shall keep proper accounts and proper records in relationthereto and shall within 3 months after the expiry of a financial year, orsuch further period as the Financial Secretary may allow, prepare astatement of the accounts of the Council, which statement shall include anincome and expenditure account and a balance sheet.(2) The Councilshall, subject to subsection (3), appoint an auditor, who shall beentitled to have access at any time to all books of account, vouchers andother financial records of the Council and to require suchinformation andexplanations relating thereto as he thinks fit.(3) The Council shall obtain the prior approval of the Financial Secretaryto any appointment proposed to be made under subsection (2).(4) The auditor shall, as soon as is practicable, audit the accountsrequired by subsection (1) and shall submit a report thereon to theCouncil.(5) The Council shall within 3 months after the receipt by it of theauditor's report in respect of its accounts for a financial year, orwithin such further period as the Financial Secretary may allow, furnish--(a) a report on the affairs of the Council for that year;(b) a copy of its accounts therefor; and(c) the auditor's report on the accounts, to the Governor who shall causethe same to be tabled in the Legislative Council.

PART IV GENERAL

17. Council not servant or agent of CrownThe Council is not a servant or agent of the Crown and does not enjoy anystatus, immunity or privilege of the Crown.18. Governor may give directions(1) The Governor may, if he considers that the public interest sorequires, give to the Council such directions as he thinks fit withrespect to the exercise and performance by the Council of its powers,functions and duties under this Ordinance, either generally or in anyparticular case.(2) The Council shall comply with any direction given to it undersubsection (1).19. Protectionof members of Council and committees(1) No member or employee of the Council or of any committee of theCouncil shall be personally liable for anyact done or default made--(a) by the Council; or(b) by any committee of the Council, acting in good faith in the course ofthe operations of the Council or of the committee.(2) The protection hereby conferred on members and employees of theCouncil or of a committee in respect of any act or defaultshall not inany way affect any liability of the Council for that act or default.

20. Prohibition of exploitation of the Council's name for advertisementpurposes(1) No person shall, with a view to promoting or disparaging anygoods, services or immovable property or promoting the image of anyperson, publish or cause to be published any advertisement which eitherexpressly or by implication makes reference to--(a) the Council;(b) any committee, member, agent or employee of the Council;(c) the Council's publication or finding of tests or surveys conducted byor on behalf of the Council; or(d) any other information published by the Council, without writtenconsent of the Council.(2) Any person who contravenes subsection (1) commits an offence and isliable to a fine of $ 100,000.(3) For the purpose of subsection (1) "advertisement" may be constitutedby any words, whether written or spoken, or any picture, drawing, visualimage, figure or article--(a) appearingin any publication; or(b) brought to the notice of the public or any section of the public inany other way. (Replaced 5 of 1992 s. 5)

21. Transitional provisions(1) All property of whatever kind and whether movable or immovable vestedin or belonging to the Consumer Council existing at the commencement ofthis Ordinance shall as from that date vest in or belong to that Councilin its corporate capacity without any further assurance.(2) All obligations and liabilities of the said Consumer Council are asfrom the commencement of this Ordinance the obligations and liabilities ofthe Council in its corporate capacity.(3) Where anything has been commenced by or under the authority of thesaid Consumer Council before the commencement of this Ordinance such thingmay be carried on any completed by the Council in its corporate capacity.(4) Every person who immediately before the commencement of this Ordinanceholds an appointment as Chairman, Executive Director or a member of thesaid Consumer Council is, as from such commencement but subject to theterms of his appointment, the Chairman, Executive Director, or a member ofthe Council, as the case may be, for the purposes of this Ordinance.(5) Notwithstanding the definition of "financial year" in section 2 theperiod between the commencement of this Ordinance and 31 March 1978 shallbe deemed to be a financial year.(6) No stamp duty shall be payable in respect of any transfer of propertyunder this section.
