二次审议稿第一百二十八条至第一百三十九条规定了土地承包经营权，同时，该文件第一百二十三条至第一百二十七条，作为用益物权的一般规定，适用于土地承包经营权，以及第一条至第九条作为物权法总则适用于土地承包经营权。以上的法条集合，以大陆法系典型的总则——分则模式基本将土地承包经营权这一实现土地的农业利用的用益物权所应具有的性质进行了规范。使土地承包经营权基本实现了上述性质方面的要求。但在本文前述的土地承包经营权应具有的几条性质中，在第一条，第二条，和第三条所述的性质方面，二次审议稿的规定对其体现的力度还不够，而尤其对于其中第一条所述的方面，二次审议稿似乎并未作此考虑，然而笔者愚见以为，作为实现土地的农业利用的用益物权类型，土地承包经营权应当具有和充分体现这几条性质，以便使土地承包经营权能充分和顺利地实现其作用。

    五、结语

    土地承包经营权是为解决在我国实行土地的完全公有制环境下的市场经济中土地农业利用问题而创设的一种新型用益物权，这一物权类型的设立，也使长期存在的土地承包经营中的相关问题，如原来土地承包经营权性质的债权与物权之争，等得到了解决。二次审议稿中所规定的土地承包经营权，其性质与日本，台湾等大陆法系国家之永佃权制度极为相似，也与法国，德国之用益权制度有一定的相似之处，因此其表达土地承包经营权的性质的法条规定的构造格局应当借鉴大陆法系国家之永佃权制度和用益权制度的成熟做法。二次审议稿对土地承包经营权的规定大体的使这一权利类型具备了其应具有的特定的用益物权的性质，但在某些方面，还需要一是要充分考虑我国国情，另一方面也应当充分借鉴成熟做法，吸收合理的学说与理论，以便充分实现土地承包经营权之功能。

    [Abstracts]  A clear comprehension of the nature of the right of the lands-contracted-management-right is helpful for the rationalization of the legislation of our country that is going on and for the solution to the problems of the agricultural use of lands. The lands-contracted-management-right will be a new type of the usufructuary right created by our country， the nature of which has many similaritieswith the usufruct and the lease-in-perpetuity-right traditional real laws. The progressing of our legislation should take reference from the successful examples set by other countries. The regulation about the lands-contracted-management right in the second discussed draft of the real law given by the standing committee of NPC is generally provided with the nature which is demanded， however， there is also some points that should be better.
